Paul routinely advises clients on private securities offerings under Rules 506(b) and (c) of Regulation D of the Securities Act of 1933, with a particular emphasis on offerings involving real estate and the use of Delaware statutory trusts (“DSTs”). Relatedly, Paul often advises clients engaged in tax-deferred exchanges under Section 1031 of the Internal Revenue Code.
In addition to advising clients on private securities offerings and tax-advantaged transactions, Paul assists clients with general corporate governance matters, joint ventures, and other transactional matters.
Paul previously served as a legal research fellow while living in downtown Yangon, Myanmar for OpenDevelopment Myanmar, an open data platform that seeks to provide unbiased information to a wide array of stakeholders.
Joe advises on all aspects of private securities offerings, with a particular emphasis on Opportunity Zone investments and 1031 investments such as syndications of beneficial interests in a Delaware statutory trust (“DST”) or undivided tenancy in common (“TIC”) interests. In addition, Joe has a wealth of experience with acquisition, disposition, and financing of commercial real estate. He has handled transactions involving real estate valued in excess of $15 billion, including a multi-family complex in Tampa, which was the largest DST transaction in U.S. history at the time and an office tower in Chicago which was the largest syndicated TIC acquisition in U.S. history at the time.
Joe has served as an expert witness in litigation related to the restructuring of master leases for TIC and DST assets, and has been a speaker on such topics as Opportunity Zone investment strategies, the structuring of UPREIT transactions, and the challenges of transitioning management responsibility for TIC owned assets.
Lindsey is experienced in negotiating purchase and sale agreements for the acquisition and disposition of commercial real estate assets, including office buildings, retail properties, hotels, industrial properties, multi-family and multi-use properties. She advises clients regarding real estate finance documents and loan agreements for senior and bridge financing, as well as commercial leasing and corporate entity formation and structure.
Lindsey previously served as a trademark intern for the Major League Baseball Office of the Commissioner in New York. After law school, she was a Buswell research fellow and assistant director of research for the Center for Legal & Court Technology (CLCT) in Williamsburg, Virginia, researching the implications of the use of Artificial Intelligence and of the Internet of Things in the legal field. She then clerked for the Honorable Elizabth C. Wingo, Superior Court of the District of Columbia.
In her spare time, Lindsey enjoys singing, cooking, and traveling. Her favorite travel destination to date is a recent road trip along the southern coast of Ireland, where she drove over 1,000 kilometers on the left-hand side of the road.
Bryce advises clients on all aspects of private securities offerings under Rules 506(b) and (c) of Regulation D of the Securities Act of 1933. In addition, Bryce frequently advises clients engaged in tax-deferred exchanges under Section 1031 of the Internal Revenue Code.
Additionally, Bryce assists clients with general corporate matters such as drafting operating agreements, negotiating contracts or leases, and other transactional matters.
In his spare time, Bryce enjoys time with family, playing guitar, and practicing martial arts. He is an avid practitioner of Brazilian Jiu-Jitsu in which he holds the rank of purple belt.
Lindsay Doyle supports the firm’s attorneys in commercial real estate and private securities matters, assisting with drafting contracts, conducting research, reviewing title documents, and various other transactional matters. Prior to joining McQuade Johnson, Lindsay worked as a law firm billing coordinator.
In her free time, Lindsay enjoys spending time with her family on the Inner Banks of NC.
Shea supports our legal team on matters including: acquisitions and dispositions of commercial real estate; private securities offerings including Delaware Statutory Trust transactions, and Blue Sky filings. In her free time she enjoys cooking and spending time with her two Labrador retrievers.
